Linkly Terms of Service

This Terms of Service (the "Agreement") applies to all websites, mobile applications, and related services (collectively, the "Services") provided by Wuhan Diandi Rishi Network Technology Co., Ltd. ("Linkly," "we," "our," or "us"). By accessing or using the Services, you ("you" or "your") agree to be bound by this Agreement, including all referenced policies and supplemental terms. Please read this Agreement carefully, as it contains important information about your legal rights, remedies, and obligations, including limitations of liability and dispute resolution provisions.
I. Use of the Services
A. Eligibility
The Services are intended for personal, non-commercial use by individuals. You may use the Services only if you can form a binding contract with Linkly and comply with this Agreement and all applicable laws. Individuals under the age of 16 ("Minors") may not create an account without explicit parental or guardian consent. For jurisdictions where local law mandates a higher age (e.g., 16 under the EU General Data Protection Regulation), the local age requirement shall apply. By consenting to a Minor’s use of the Services, parents/guardians assume full responsibility for the Minor’s compliance with this Agreement and all associated risks.
B. Prohibited Uses
You agree not to engage in any of the following activities:
Copying, distributing, transmitting, disassembling, or reverse-engineering any part of the Services;
Impersonating others, providing false information, or using another user’s account without permission;
Uploading, posting, or transmitting content that violates laws, including content that is defamatory, obscene, violent, discriminatory, or infringing of third-party rights (e.g., copyright, privacy);
Interfering with the Services’ functionality, security, or other users’ access;
Using the Services for commercial purposes, spam, or solicitation, including unsolicited marketing, without prior opt-in consent from recipients (as required by local anti-spam laws such as the EU ePrivacy Directive);
Bypassing security measures (e.g., age verification) or violating applicable laws (e.g., data export restrictions);
Processing, storing, or transferring personal data of others without explicit consent, or in violation of applicable data protection laws (e.g., GDPR, CCPA).
C. Accounts
To use certain features of the Services, you must create an account with accurate and complete information. You are solely responsible for activity on your account and must keep your password secure. Notify us immediately of unauthorized account use. You have the right to access, correct, or request deletion of your account data by contacting [Support Email]. We will respond to such requests within 30 days, as required by applicable law. Linkly reserves the right to suspend or terminate accounts for violations of this Agreement.
D. Mobile Software
If you download the Linkly mobile application ("App") from app stores (e.g., Apple App Store, Google Play Store), you acknowledge that:
This Agreement is between you and Linkly, not the app store;
The app store has no obligation to provide maintenance or support for the App;
You must comply with the app store’s terms of service;
Linkly grants you a non-exclusive, non-transferable license to use the App on devices you own or control, subject to this Agreement.
E. Beta Services
Linkly may offer beta, experimental, or early-access features ("Beta Services") on an "as-is" basis. Beta Services may contain bugs, and Linkly is not obligated to provide support or continue offering them. Your use of Beta Services is at your own risk.
II. Service Availability and Termination
Linkly may modify, suspend, or discontinue the Services (in whole or in part) at any time, with or without notice, for reasons including technical improvements, legal compliance, or security. You may terminate your account at any time by following the instructions in Section X.
You may terminate this Agreement at any time by deleting your account. Upon termination, we will delete your personal data within a reasonable period, unless required to retain it by law (e.g., tax or record-keeping obligations).
Linkly reserves the right to suspend or terminate your access to the Services for:
Material or repeated violations of this Agreement;
Inactivity for 12 months or more;
Legal or regulatory requirements;
Fraudulent or harmful conduct.
III. User Content
You retain ownership of content you upload, post, or transmit through the Services ("User Content"). By providing User Content, you grant Linkly a worldwide, royalty-free, sublicensable license to use, reproduce, and distribute such content to operate, improve, and promote the Services.
You warrant that:
You have the right to share the User Content and that it does not violate third-party rights;
All individuals in User Content (e.g., photos) have consented to their inclusion;
Linkly may remove User Content that violates this Agreement, at its sole discretion.
IV. Subscription Services
A. General Terms
Linkly offers paid subscription services ("Subscriptions") with features specified on the Services. Subscription fees are displayed at the time of purchase and may be adjusted with prior notice (at least 30 days for price increases). Fees are payable in advance and non-refundable, except as required by applicable law.
B. Auto-Renewal
If you enable auto-renewal, your Subscription will automatically renew at the end of each billing period (e.g., monthly, quarterly) using your payment method. For users in the European Union, European Economic Area, or United Kingdom, you will be notified of renewal at least 14 days in advance via email and in-app message. For users in other jurisdictions, you will be notified via in-app message at least 5 days before renewal. To cancel auto-renewal:
Apple App Store: Go to "Settings" > [Your Name] > "Subscriptions" > Select Linkly > "Cancel Subscription";
Google Play Store: Go to "Google Play" > "Menu" > "Subscriptions" > Select Linkly > "Cancel Subscription";
Other Payment Methods: Follow instructions in the Services’ "Account" or "Settings" section.
C. Refunds
Subscriptions are non-refundable for unused time, except:
Users in the European Union, European Economic Area, or United Kingdom may cancel within 14 days of purchase ("Cooling-Off Period") for a full refund;
Refunds required by applicable law;
Refund rights shall be governed by the laws of your country of residence, whichever is more protective of consumer rights.
V. Privacy
Linkly collects, uses, and discloses personal information as described in the [Privacy Policy]. Our [Privacy Policy] specifies: (i) types of personal data collected (e.g., name, email, usage data); (ii) purposes of processing (e.g., service operation, user communication); (iii) data retention periods; (iv) your rights to access, rectify, erase, or restrict processing of your data; and (v) how to file a complaint with a supervisory authority (e.g., EU Data Protection Authorities). By using the Services, you consent to such practices. For Minors under 16 (or higher age as required by local law), we collect parental contact information to verify consent and protect their privacy.
VI. Intellectual Property
All content on the Services, including logos, text, and software ("Company Content"), is owned by Linkly or its licensors. You may not use Company Content without prior written permission, except as necessary to use the Services.
VII. Third-Party Links
The Services may contain links to third-party websites or services. Linkly does not endorse or assume liability for third-party content, products, or services. Your interactions with third parties are solely your responsibility.
VIII. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. This disclaimer does not apply to damages caused by our gross negligence, intentional misconduct, or failure to comply with mandatory legal obligations (e.g., data protection laws). Linkly does not guarantee the Services will be uninterrupted, error-free, or secure.
IX. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LINKLY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING LOSS OF PROFITS, DATA, OR DAMAGES FROM THIRD-PARTY CLAIMS. LINKLY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR SUBSCRIPTIONS IN THE 6 MONTHS BEFORE THE CLAIM ARISES. Nothing in this Agreement limits liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; (iii) violations of applicable data protection laws; or (iv) other liability that cannot be excluded by law.
X. Dispute Resolution
A. Governing Law
If you are domiciled in:
Australia or New Zealand: This Agreement is governed by Australian law, with disputes resolved by the Australian Centre for International Commercial Arbitration;
Asia/Pacific (excluding Japan): Governed by Singapore law, with disputes resolved by the Singapore International Arbitration Centre;
Americas or Caribbean: Governed by California or U.S. federal law, with disputes resolved by JAMS in San Francisco, California;
European Union or Switzerland: Governed by Irish law, with disputes resolved by the International Chamber of Commerce;
United Kingdom: Governed by English law, with disputes resolved by JAMS in London;
Japan: Governed by Japanese law, with disputes resolved by the Japan Commercial Arbitration Association.
For consumers, you may choose to resolve disputes in the courts of your country of residence, notwithstanding the above arbitration provisions.
B. Arbitration
Except for small claims or claims for injunctive relief, all disputes arising from this Agreement shall be resolved by binding arbitration under the rules of the applicable institution (above). You waive the right to participate in class actions or jury trials. This arbitration agreement does not prevent you from exercising rights under mandatory local laws (e.g., filing complaints with consumer protection authorities).
XI. General Provisions
Amendments: Linkly may update this Agreement by posting changes on the Services. Material changes to this Agreement (e.g., affecting your rights or liability) will be notified to you at least 30 days in advance. Your continued use constitutes acceptance; however, for residents of the EU/EEA, you may reject changes and terminate your account without penalty.
Notifications: Linkly may send notices via email, in-app messages, or postings on the Services.
Entire Agreement: This Agreement, including referenced policies, constitutes the entire understanding between you and Linkly.
